1. Who we are

These Terms of Service (“Terms”) govern your access to and use of the websites, mobile applications, and services (together, the “Services”) operated by Vermell Apps S.L., with CIF B56505753, contactable at hello@vermellapps.io (“Vermell Apps,” “we,” “our,” or “us”).

2. Acceptance of these Terms

By accessing or using our Services you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

3. Eligibility

You must be at least 13 years old to use our Services. Some apps may set a higher age requirement; in that case the age stated in that app’s store listing prevails.

4. Your account

Certain features require an account. You are responsible for keeping your credentials secure and for any activity under your account. Notify us at hello@vermellapps.io if you suspect unauthorised use.

5. Acceptable use

When using the Services you agree not to:

• use them for unlawful, harmful, or fraudulent purposes;
• attempt to reverse-engineer, decompile, or disrupt the Services;
• scrape, copy, or redistribute content without permission;
• upload content that infringes third-party rights or violates applicable law;
• use automated means (bots, scripts) to access the Services without our written consent.

6. Intellectual property

The Services, including text, graphics, logos, software, and design, are owned by Vermell Apps S.L. or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for personal, non-commercial purposes in accordance with these Terms.

7. User content

You retain ownership of content you submit to the Services. By submitting content you grant us a worldwide, royalty-free licence to host, store, and display that content solely to the extent necessary to operate and improve the Services. You are responsible for the content you submit and for having the rights to submit it.

8. Subscriptions and payments

Some features may be offered through paid subscriptions. Subscriptions purchased through Apple App Store or Google Play are governed by those platforms’ terms and billing rules, and renewals, cancellations, and refunds are managed through your platform account. Prices and features may change; material changes will be communicated in advance where required by law.

9. Third-party services

The Services may interoperate with third-party services (e.g. analytics, crash reporting, authentication providers, payment processors). Your use of those third-party services is subject to their own terms and privacy policies.

10. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, express or implied, to the maximum extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free, or free from security threats.

11. Limitation of liability

To the maximum extent permitted by applicable law, Vermell Apps S.L. will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill arising out of or in connection with your use of the Services. Nothing in these Terms limits liability that cannot be limited by law.

12. Termination

We may suspend or terminate your access to the Services at any time if you breach these Terms or if we are required to do so by law. You may stop using the Services and delete your account at any time. Sections that by their nature should survive termination (intellectual property, disclaimers, limitation of liability, governing law) will survive.

13. Changes to the Services or these Terms

We may modify the Services or these Terms from time to time. If changes are material we will provide reasonable notice (for example, on this page or by email). Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.

14. Governing law and jurisdiction

These Terms are governed by the laws of Spain. Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Barcelona, Spain, without prejudice to any mandatory consumer protection rights that apply in your country of residence.
